This Instagram Influencer Collaboration Agreement is made on [DATE], between:

Together referred to as the Parties.
1. Scope of Work
The Influencer agrees to create and publish promotional content on Instagram featuring the
Business and/or its products or services.
Deliverables (select as applicable):
● Instagram Reel
● Instagram Story
Total Deliverables: (NUMBER OF REELS) and (NUMBER OF STORIES)
Content must:
● Clearly feature the Business and/or its products/services
● Be posted no later than: (POSTING DATE)
2. Mandatory Collaboration Post
The first published post must be shared as an Instagram Collaboration Post. The Influencer agrees to either invite the Business as a collaborator or accept a collaboration invite from the Business.
3. Compensation
In exchange for the agreed deliverables, the Influencer will receive:

Compensation may consist of payment, complimentary products/services, or a combination
of both. No additional compensation shall be owed unless agreed to in writing
4. Content Ownership and Usage Rights
The videos or pictures created under this agreement shall become the exclusive property of the Business. The Business shall have full, perpetual, worldwide rights to download, store, repost, edit, reuse, and run paid advertising using the videos or pictures created on Instagram without any additional compensation to the Influencer. The Influencer agrees to provide the final high-quality versions of the videos or pictures created to the Business. The Influencer waives any future claim to ownership or additional payment related to the videos or pictures created.
5. Content Permanence
The Influencer may not delete, archive the posts unless the Business requests it. The videos or pictures created will remain permanently accessible to the Business on Instagram
6. Governing Law
This agreement shall be governed by the laws of Ontario, Canada.
7. Entire Understanding
This document represents the complete understanding between the Parties and supersedes any prior discussions. Any amendments must be made in writing and signed by both Parties.
8. Failure to Deliver
If the Influencer fails to deliver or post the agreed content by the specified deadline, the Business is not obligated to provide compensation, and any compensation already paid may be subject to refund. An exception applies in the case of an extreme emergency, such as a life-threatening situation or other urgent, unforeseen circumstances, which may prevent timely posting.
